The agreement, in one breath
These Terms of Service (the “Terms”) are a binding contract between you and Carouzel AI (“Carouzel”, “we”, “us”). They govern your access to and use of the Carouzel website, applications, APIs, and any related services (collectively, the “Service”).
By creating an account, clicking “I agree”, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Your account
You are responsible for everything that happens under your account, including all content generated, all credits consumed, and all charges incurred. Keep your credentials confidential and notify us immediately at contact@carouzelai.com if you suspect unauthorized access.
You agree to provide accurate, current, and complete information when registering and to keep it updated. We may refuse, suspend, or terminate accounts that contain impersonated identities, false information, or that we reasonably believe are being used to abuse the Service or harm other users.
License to use Carouzel
Subject to your compliance with these Terms and your payment of any applicable fees, Carouzel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal creative purposes.
You agree not to, and not to permit any third party to:
- reverse engineer, decompile, or attempt to extract the source code, model weights, prompts, or underlying algorithms of the Service;
- scrape, mirror, frame, or systematically download any portion of the Service except via features we expressly provide;
- use the Service to build, train, or evaluate a competing product, dataset, or machine-learning model;
- resell, sublicense, time-share, or otherwise commercially exploit the Service outside the rights granted in these Terms;
- bypass rate limits, credit limits, plan restrictions, or any technical access controls;
- use the Service in any manner that violates applicable law or infringes the rights of any third party.
Acceptable use
Carouzel is a creative tool. Don't use it to make the internet worse. You specifically agree not to use the Service to generate, upload, distribute, or assist in creating any content that:
- infringes intellectual property, publicity, privacy, or moral rights of any person or entity;
- constitutes child sexual abuse material, non-consensual intimate imagery, or sexualized content involving minors in any form;
- promotes terrorism, violent extremism, self-harm, or targeted harassment of any individual or group;
- contains malware, exploits, phishing material, or attempts to compromise the security or integrity of any system;
- misrepresents Carouzel-generated output as the work of a real, named third party without that person's authorization;
- constitutes spam, scams, deceptive financial promotions, illegal pharmaceuticals, or unregulated political microtargeting;
- is intended to deceive (deepfakes of real people, fabricated quotes, faked endorsements) without clear disclosure.
Your content & generated output
What you upload (“Your Content”)
You retain all rights to prompts, brand assets, copy, and other material you upload (“Your Content”). You represent and warrant that you have all rights necessary to upload Your Content and to grant the license below.
You grant Carouzel a worldwide, royalty-free, non-exclusive license to host, store, reproduce, process, and transmit Your Content solely to operate, provide, maintain, secure, and improve the Service for you. This license ends when you delete the content or close your account, except for residual copies retained in routine backups or as required by law.
What the Service generates (“Output”)
To the maximum extent permitted by law, Carouzel assigns to you all rights, title, and interest it may have in the slides, copy, layouts, and assets the Service generates from your prompts (“Output”). You may use Output for personal or commercial purposes, including publishing, selling, or modifying it.
Improvement of the Service
We do not train our foundation models on Your Content. We may use aggregated, de-identified telemetry (such as feature usage and error reports) to improve the Service. You may opt out of any future model-improvement program at any time via your account settings.
AI-specific disclaimers
The Service uses large language models and other machine-learning systems. These systems are probabilistic. They can be wrong, biased, inconsistent, or unexpectedly creative. Output may include statements that look factual but are not, references to people who do not exist, or text that resembles existing works.
You agree that you, not Carouzel, are responsible for any decision made or content published based on Output, including legal, medical, financial, or professional claims. Do not use Carouzel for advice in any regulated profession without independent verification by a qualified human.
Plans, credits & payment
Some features are paid. Pricing, plan benefits, and credit allotments are described on our pricing page and may change. By subscribing to a paid plan, you authorize us (and our payment processor) to charge the payment method on file for the applicable fees, taxes, and any successful renewals.
Subscriptions & renewals
Subscriptions renew automatically at the end of each billing period for the same term at the then-current rate, unless you cancel before renewal. You can cancel any time from your billing settings; cancellation takes effect at the end of the current billing period.
Credits
Credits are a prepaid right to use specific generative features. Credits do not constitute money, are not redeemable for cash, and (unless we state otherwise) expire at the end of the billing period in which they were issued. Top-up credits expire 12 months after purchase. We may modify credit costs for any feature with reasonable prior notice.
Refunds
Except where required by mandatory consumer-protection law (including, for EU/EEA consumers, the statutory 14-day right of withdrawal where applicable), all payments are final and non-refundable. We may, at our sole discretion, issue partial refunds or credits for documented service outages.
Taxes
Prices are exclusive of applicable taxes, duties, and similar charges unless stated. You are responsible for any tax obligations arising from your use of the Service, other than taxes on our net income.
Our intellectual property
The Service — including all software, models, prompts, designs, templates, interface, branding, and documentation — is owned by Carouzel or its licensors and is protected by intellectual-property and other laws. Nothing in these Terms transfers any ownership in the Service to you.
The names “Carouzel”, “Carouzel AI”, our logos, and any related marks are trademarks of Carouzel. You may not use them without our prior written permission, except to truthfully describe that you use the Service.
We welcome ideas. If you send us feedback or suggestions (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without obligation to you.
Third-party services
The Service integrates with third-party providers for payments, authentication, analytics, AI inference, and infrastructure. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, content, accuracy, or practices of any third-party service.
We may add, remove, or replace third-party providers at our discretion. Where doing so materially affects your use of a paid feature, we will give reasonable notice.
Suspension & termination
You may stop using the Service at any time and close your account from settings.
We may suspend, restrict, or terminateyour access — in whole or in part — immediately and without prior notice if:
- you breach these Terms, including the Acceptable Use section;
- your account is inactive for an extended period;
- we are required to do so by law, court order, or a credible request from law enforcement;
- your use poses a security, legal, reputational, or financial risk to Carouzel, other users, or third parties;
- your payment method fails and is not corrected within a reasonable time.
On termination, your license to use the Service ends, and we may delete Your Content after a reasonable grace period. Sections that by their nature should survive termination (IP, disclaimers, limitation of liability, indemnity, dispute resolution) will survive.
Disclaimer of warranties
To the maximum extent permitted by law, Carouzel and its officers, employees, contractors, licensors, and suppliers expressly disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or trade usage.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that defects will be corrected; that the Service or any server is free of viruses or other harmful components; or that Output will be accurate, reliable, original, or suitable for your purposes.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the maximum extent permitted by law.
Limitation of liability
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS — WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CAROUZEL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
These limitations apply notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
Indemnification
You will indemnify, defend, and hold harmless Carouzel and its officers, directors, employees, contractors, licensors, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) Your Content; (b) your use of the Service or Output; (c) your breach of these Terms; or (d) your violation of any law or any third-party right.
We may, at our option, assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with our reasonable requests. You will not settle any claim that imposes any obligation on Carouzel without our prior written consent.
Dispute resolution & arbitration
Informal first. Before filing any claim, you agree to contact us at contact@carouzelai.com and give us at least sixty (60) days to resolve the dispute in good faith.
Binding arbitration. If we cannot resolve the dispute informally, you and Carouzel agree that any claim arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The seat of arbitration is Santa Clara County, California, USA. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek temporary or permanent injunctive relief in court for actual or threatened infringement, misappropriation, or violation of intellectual-property rights or confidentiality obligations.
Consumer rights. If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction whose mandatory law overrides this section, you retain all rights afforded by your local consumer-protection law, and disputes may be brought before the competent courts of your place of residence.
Governing law
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles, except where overridden by mandatory local law. Subject to the dispute-resolution section, the state and federal courts located in Santa Clara County, California, have exclusive jurisdiction over any matters not subject to arbitration.
Changes to the Service & these Terms
Carouzel is a living product. We may add, change, deprecate, or remove features at any time. We will use reasonable efforts to give notice of material changes that adversely affect paid users.
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice at least fifteen (15) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, your sole remedy is to stop using the Service and close your account before the effective date.
Miscellaneous
Entire agreement
These Terms, together with our Privacy Policy and any order form or plan-specific terms you accept, constitute the entire agreement between you and Carouzel concerning the Service and supersede any prior or contemporaneous agreements.
No waiver
Our failure to enforce any provision is not a waiver of our right to do so later. Waivers are effective only if made in writing and signed by an authorized representative of Carouzel.
Severability
If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, financing, or sale of assets.
Force majeure
Neither party is liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government action, internet or infrastructure failures, third-party-provider outages, or pandemics.
